Components’ (ABC’s) parent company, NCI Building Systems (NCI) and Ply Gem
Parent, LLC (Ply Gem) announced the signing of a definitive merger agreement
Tuesday, July 17, 2018.
As a leading
manufacturer of exterior building products—including the metal
roof and wall panels, trim and accessories produced by ABC—NCI is
excited about incorporating Ply Gem’s commercial and residential new
construction and repair & remodel solutions into the building solutions
portfolio we can offer our customers.

The combined Company
will leverage shared strengths and best-in-class manufacturing capabilities to
become a one-stop solution for exterior building envelope needs. This
market-leading combination provides an improved ability to deliver a more
diverse product portfolio across multiple end-markets, enhanced product
innovation and continuous improvement opportunities, as well as manufacturing,
procurement and near-term cost synergies. As a result, ABC customers will be

ABC will continue to
operate in the same way we do today during and after the merger transaction,

NCI Chairman James
S. Metcalf will lead the integration of NCI (NYSE: NCS) and Ply Gem and serve
as the Chairman and CEO of the combined Company following the NCI shareholder
approval and closing of the merger transaction later this year. Donald Riley, current CEO of NCI, will serve
as CEO of the Company’s NCI Division. Ply Gem’s current Chairman and CEO will
serve as Chairman Emeritus and Special Advisor to the Company, while Shawn Poe,
current CFO of Ply Gem, will serve as CFO of the Company.
